These Terms & Conditions (“Terms”) govern your access to and use of Kuisinette LLC's restaurant management platform and related services (collectively, the “Services”). By registering for, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Agreement to Terms

1.1 You (“User”) confirm that you have read, understood, and agree to be bound by these Terms and any policies referenced herein.
1.2 If you do not agree with any provision, you must immediately cease all use of the Services.

3. Definitions

3.1 “Services”: The online platform, software, mobile apps, APIs, integrations, and support provided by Kuisinette.
3.2 “Content”: All text, images, data, software, user interfaces, and other materials made available through the Services.
3.3 “Subscription Plan”: The tier of Services selected by you (e.g., Basic or Standard).
3.4 “User Content”: Any menus, images, data, or other materials you upload or input into the Services.

4. Eligibility & Registration

4.1 Eligibility

  • (a) You must be at least 18 years old and have legal capacity to enter into contracts.
  • (b) You represent that you are a legitimate restaurant or food service operator.

4.2 Registration Requirements

  • (a) Provide accurate, complete, and current information when creating an account.
  • (b) Keep your account credentials confidential; you are responsible for all activity under your account.

4.3 Account Verification

  • (a) We may verify your identity or business credentials before activating your account.
  • (b) We reserve the right to refuse registration for any reason at our sole discretion.

5. Subscription Plans, Fees & Billing

5.1 Subscription Plans

  • (a) Basic Plan: $0 USD per month
  • (b) Standard Plan: $50 USD per month
  • (c) Platform Fee: $5 JMD per direct order processed
  • (d) Stripe Processing Fee: 2.9% + $0.30 per transaction

5.2 Billing & Renewal

  • (a) Subscriptions automatically renew monthly on the date of initial signup.
  • (b) Your chosen payment method will be charged without further notice until cancellation.

5.3 Payment Methods & Currency

  • (a) We accept major credit/debit cards and PayPal.
  • (b) All charges are in U.S. Dollars (USD).

5.4 Failed or Late Payments

  • (a) We may suspend or terminate Services if payment fails or is late.
  • (b) You remain responsible for any outstanding fees.

5.5 Cancellation & Refunds

  • (a) You may cancel at any time via your account portal; Services remain active until the end of the paid term.
  • (b) All fees are non-refundable.
  • (c) We reserve the right to modify pricing; changes apply prospectively to renewal cycles.

6. License & Intellectual Property

6.1 Our Ownership

  • (a) All software, trademarks, trade names, and content are owned or licensed by Kuisinette.

6.2 Your License

  • (a) We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.

6.3 Restrictions

You agree not to:

  • (i) Copy, modify, or create derivative works of the Services.
  • (ii) Reverse-engineer, decompile, or disassemble any part of the Services.
  • (iii) Sell, sublicense, or distribute the Services to third parties.
  • (iv) Remove or obscure any proprietary notices.

7. User Content & Data Ownership

7.1 Ownership

  • (a) You retain sole ownership of all User Content you upload.

7.2 License to Kuisinette

  • (a) By uploading, you grant Kuisinette a worldwide, royalty-free license to host, use, reproduce, and display your User Content solely to provide the Services.

7.3 Responsibility

  • (a) You are solely responsible for the accuracy, legality, and compliance of your User Content with applicable laws.
  • (b) We may remove content that violates these Terms or applicable law.

8. Acceptable Use Policy

8.1 Prohibited Activities

You agree not to use the Services to:

  • (a) Violate any law, regulation, or third-party right.
  • (b) Transmit malware, spam, or harmful code.
  • (c) Engage in data scraping, bots, or unauthorized automation.
  • (d) Circumvent security measures or access non-public areas.

8.2 Enforcement

  • (a) We may investigate and take appropriate action (including account suspension) for any suspected violation.

9. Confidentiality

9.1 Definition

  • (a) “Confidential Information” includes non-public business, technical, or financial information disclosed by either party.

9.2 Obligations

  • (a) Each party agrees to maintain confidentiality and not disclose Confidential Information without prior consent, except as required by law.

10. Disclaimers

10.1 “AS IS”

  • (a) The Services are provided “AS IS” without warranties of any kind.

10.2 No Warranty

  • (a) We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.3 Third-Party Products

  • (a) We are not responsible for performance of any third-party integrations or software.

11. Limitation of Liability

11.1 Exclusion of Damages

  • (a) Under no circumstances shall Kuisinette be liable for indirect, incidental, special, punitive, or consequential damages.

11.2 Cap on Liability

  • (a) Our total liability for all claims arising out of or relating to these Terms will not exceed the amount you paid to Kuisinette in the twelve (12) months preceding the claim.

12. Indemnification

12.1 Your Indemnity

(a) You agree to indemnify, defend, and hold harmless Kuisinette and its affiliates from any claims arising out of:

  • (i) Your breach of these Terms.
  • (ii) Your violation of any law or third-party rights.
  • (iii) Your User Content.

13. Termination

13.1 By You

  • (a) You may terminate your subscription at any time via your account settings; access continues until term end.

13.2 By Kuisinette

  • (a) We may suspend or terminate your account for breach of these Terms, non-payment, or unlawful conduct, with or without notice.

13.3 Effect of Termination

  • (a) Upon termination, your license ends and we may delete or archive your User Content per our retention policy.

14. Governing Law & Dispute Resolution

14.1 Governing Law

  • (a) These Terms are governed by the laws of the State of Wyoming, USA.

14.2 Jurisdiction

  • (a) Any dispute shall be brought exclusively in Sheridan County, Wyoming courts.

14.3 Arbitration (Optional)

  • (a) At our election, disputes may be resolved by binding arbitration in Sheridan, WY under the AAA Commercial Arbitration Rules.

15. Modifications to Terms

15.1 Right to Amend

  • (a) We may modify these Terms at any time.

15.2 Notice

  • (a) We will post updated Terms with a new Effective Date and notify you by email or in-app notice.

15.3 Acceptance

  • (a) Continued use of the Services after changes constitutes acceptance of the new Terms.

16. Miscellaneous

16.1 Severability: If any provision is invalid, the remainder remains enforceable.
16.2 No Waiver: Failure to enforce a right is not a waiver of that right.
16.3 Assignment: You may not assign these Terms; we may assign freely.
16.4 Entire Agreement: These Terms and referenced policies constitute the entire agreement between you and Kuisinette.
